The short version
- UtilizeBot is an AI assistant with its own computer in the cloud. It works for you, on your instructions, and you stay responsible for what you ask it to do and approve.
- Plans include a monthly allowance of credits. Trials need a card and renew into the paid plan unless you cancel before they end.
- You can cancel at any time and keep access until the end of the period you paid for. We do not give pro-rata refunds, and credit packs are non-refundable.
- If a payment fails, you keep full access for 7 days, then the account becomes read-only until it is paid. Your data is kept.
- AI can be wrong. Check anything important before you rely on it.
- Malaysian law applies.
1. About these terms#
These Terms of Service ("Terms") are an agreement between you and UtilizeBot Solutions, trading as UtilizeBot, in Malaysia ("we", "us"). They apply when you use the UtilizeBot app (at pa.utilizebot.cloud, in the Android app and in the desktop apps), our website at utilizebot.si, and related services (together, the "Service").
By creating an account, starting a trial, buying a plan or using the Service, you accept these Terms and our Privacy Policy. If you use the Service for an organisation, you confirm that you may accept these Terms for it, and "you" includes that organisation.
2. The Service#
UtilizeBot is an AI assistant. You tell it what you need in plain words, and it researches, writes, builds documents, websites and apps, prepares reports, keeps reminders and handles everyday tasks. Depending on your plan and what we have switched on for you, the Service can include:
- a private agent computer in the cloud that browses and acts on websites for you;
- bots that work on schedules and report back in their own chats;
- Meetings, which turns recordings into transcripts, minutes and action items;
- Templates, which builds documents on your own Word, PowerPoint, Excel and minutes templates;
- connected accounts (Google or Microsoft mail and calendar, LinkedIn), smart home and your own computer;
- published apps with a public link, voice messages, reminders and notifications;
- Family, for child accounts with parental controls.
We keep improving the Service, so features may change, be added or be removed. If we remove a feature that is a main part of your paid plan, we will tell you in advance and you may cancel. Some features are available only on certain plans or to people we invite.
3. Who can use UtilizeBot#
You must be at least 18 years old and able to enter into a binding contract. Children under 18 may use UtilizeBot only through a child account that a parent or guardian creates and controls in Family (section 20). You may not use the Service if the law or a previous suspension by us prevents you.
4. Your account and its security#
- Give us accurate details and keep your email address up to date. We send sign-in links, receipts and important notices there.
- Keep your password secret and use one that you do not use elsewhere. Your account is for you; do not share it. If you need access for others, ask us about plans for teams.
- You are responsible for what happens in your account, including actions your bots and agent computer take on your instructions.
- Tell us at once at saleh@utilizebot.com if you think someone has used your account without permission.
5. Plans and credits#
- Plans. Each plan lists its price, its monthly credits, its features and its limits (for example the number of bots, meetings or child accounts) on our pricing page and in the app before you buy.
- Credits. Credits pay for the work the AI does for you. Each message, bot run, mission or meeting uses credits, depending on how much work it takes; one credit is one cent (US$0.01) of the real cost of that work. Work that fails on our side, and work on your own API key, uses no credits. The app shows how many you have used and how many are left.
- Monthly allowance. Your allowance renews every month from the day your plan started, including on yearly plans. Unused plan credits do not carry over to the next month.
- When credits run out, new work stops until your allowance renews, you buy credits or you upgrade. You can still open, read, download and export everything.
- Family. Credits used by your child accounts count toward your allowance.
- Invited and pilot accounts. Some people use UtilizeBot through an invitation, a pilot or a campaign link with free credits. The rules in these Terms apply to them as well, apart from those about payment.
6. Free trials#
- Some plans start with a free trial, 7 days unless the offer says otherwise. A card is required to start it.
- When the trial ends, your plan starts and your card is charged automatically, unless you cancel before the trial ends. We remind you before the trial ends.
- One trial per person and per email address.
- Trials from campaign links may give a set number of free credits or days without a card. They end when the credits or days run out.
7. Billing and renewals#
- Payments are processed by Stripe. By paying, you also accept Stripe's terms for the payment. We never see your full card number.
- Card subscriptions renew automatically at the end of each monthly or yearly period, at the price then in effect, until you cancel.
- Online banking (FPX) payments cover one period only and do not renew automatically. We remind you before the period ends.
- Prices are in the currency shown at checkout. Unless the price says otherwise, it includes any tax we are required to charge.
- If you switch plans during a period, the difference may be charged or credited on a pro-rata basis, as shown before you confirm.
- You can see invoices, change your card, switch plans and cancel in the billing portal, reached from Settings, Plan in the app.
8. Price changes#
We may change our prices. For an existing subscription, we will tell you by email or in the app at least 30 days before a new price applies, and the new price starts only at your next renewal after that notice. If you do not accept it, you can cancel before the renewal.
9. Cancellation#
You can cancel at any time in the billing portal. Your plan stays active until the end of the period you have paid for, and then it does not renew. After that you can still sign in, read, download and export your data, but new work stops until you choose a plan again. Cancelling does not delete your account; to close it, see section 23.
10. Refunds#
- We do not give pro-rata refunds for unused time, unused credits or a period you cancel part way through.
- Credit packs are non-refundable.
- If you were charged by mistake, charged twice, or could not use the Service because of a fault on our side, contact us within 30 days at saleh@utilizebot.com and we will put it right, which may include a refund. If we refund a credit pack, its unused credits are removed.
- Nothing here takes away refund rights you have by law that cannot be excluded.
11. Credit packs#
You can buy packs of extra credits. Bought credits are used after your plan’s monthly credits, oldest first. Each pack is valid for 12 months from purchase, and any credits left after that expire. Credit packs have no cash value, cannot be transferred and are non-refundable.
12. Failed payments and limited mode#
If a renewal payment fails, we tell you and you keep full access for 7 days while you update your card. If the payment is still not made after 7 days, your account goes into limited mode: you can sign in, read, download and export your chats, files, meetings and templates, but new chats, bot runs, missions and meetings stop until the payment is made. Your data is kept. We will not delete your data because of a failed payment without first giving you at least 30 days' notice by email.
13. Acceptable use#
You must use the Service lawfully and responsibly. You must not use it, or ask your bots or agent computer, to:
- break any law or regulation, or help anyone else do so;
- harm, threaten, harass, bully, defame or discriminate against anyone, or promote violence or terrorism;
- create, store or share any content that sexualises or endangers children, or any content harmful to children;
- send spam or unwanted bulk messages, or run deceptive marketing;
- scrape or collect data from websites against their terms or the law, or collect other people's personal data without a lawful basis;
- use credentials you are not authorised to use, take over other people's accounts, or get around sign-in, payment or captcha protections;
- test, scan or attack the security of any system, including ours, without written authorisation from its owner;
- spread malware, phishing pages or scams, including through published apps;
- infringe anyone's intellectual property or privacy, or record people in breach of the law;
- impersonate anyone, or hide that content was made by AI where the law requires you to say so;
- overload, disrupt or reverse engineer the Service, get around plan limits or usage controls, or resell the Service without our written agreement.
We may remove content, stop a task or limit features to enforce these rules.
14. Your agent computer and approvals#
- Your agent computer acts on your instructions, and on the bots and schedules you set up. You are responsible for the actions you ask for and the steps you approve, and for following the terms of the websites it uses for you.
- The assistant is built to stop and ask you before sensitive steps, such as signing in, sending emails or posts, paying or unlocking a door. Emails and posts go out only when you tap to send. Read what you approve: an approval is your instruction to go ahead.
- Use the secure sign-in card or take control when a website asks for a password. Do not type passwords into the chat.
- We may block or stop actions that look risky, unlawful or harmful, or that break these Terms, even if you asked for them.
- Websites change and may block automated browsing, show captchas or refuse access. We do not promise that any particular website will work.
- The computer may stop when idle and start again when needed. Keep your own copies of anything important.
15. Connected accounts and third-party services#
You can connect accounts such as Google, Microsoft, LinkedIn, smart home hubs and your own computer. You connect them by signing in with that provider, and you can disconnect them at any time in Settings or in the provider's own account settings. The assistant reads from them what a task needs and sends nothing from them unless you tap to approve. Third-party services are run by others under their own terms; we are not responsible for their availability, their changes or how they handle your data.
16. Published apps and shared links#
- If publishing is available to you, apps you publish get a public link on our domain, and anyone with the link can open them. Chats you share by link can be read by anyone with the link until you turn sharing off.
- You are responsible for what you publish or share, and for any personal data it contains. It must follow section 13.
- Published apps may sleep when not used. We may limit how many apps you publish, and we may take down an app or a link that breaks these Terms or puts others at risk.
17. Your content#
You keep ownership of the content you put into the Service, such as messages, files, recordings and templates, and, as between you and us, of the output made for you. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display your content only as needed to operate, secure and support the Service for you, as described in our Privacy Policy. This includes sending it to our service providers, such as AI model providers and our transcription provider. The licence ends when you delete the content or close your account, apart from copies in backups until they are overwritten. We do not use your content to train AI models.
You confirm that you have the rights you need for the content you upload, and permission from the people in any recording you make.
18. AI output#
- Output is created by AI. It may be inaccurate, incomplete, out of date or similar to output made for others.
- Check important output before you rely on it, especially for legal, financial, medical, tax or safety matters. UtilizeBot does not replace professional advice.
- Meeting minutes, transcripts and action items are a working record made by AI. Review them before you share them or treat them as an official record.
- You are responsible for how you use output, including anything you publish, send or sign.
19. Meetings and recordings#
Before you record or upload a meeting, tell everyone in it that you are recording and get their agreement where the law requires it. You are responsible for having the right to record and process each recording. You can delete a meeting at any time.
20. Family accounts#
A parent or guardian aged 18 or over may create child accounts in Family, if their plan includes it. The parent gives consent for the child, chooses the controls, and is responsible for the child's use of the Service. Child accounts use child-safe content rules and do not have the agent computer, meetings, templates, connected accounts, publishing or billing. Our safety measures reduce risk but cannot guarantee that a child never sees something unsuitable, so please stay involved. Children cannot buy anything. If the parent's plan no longer includes Family, child accounts are paused and their data is kept.
21. Our intellectual property#
The Service, including our software, designs, the UtilizeBot name, logo and characters, our guide and film, and our built-in templates, belongs to us or our licensors. We give you a personal, non-exclusive, non-transferable right to use the Service under these Terms while your account is active. You may not copy, modify, sell or create derivative works of the Service except as these Terms allow.
22. Feedback#
If you send us ideas, suggestions or feedback, we may use them freely to improve UtilizeBot, without any obligation to you.
23. Suspension and termination#
- You can stop using UtilizeBot at any time. To close your account and delete your data, use Delete my account in the app (Settings, Account), or follow our delete your account page, or email saleh@utilizebot.com from your account's email address. The account is deleted 7 days later, and you can keep it until then. Asking to delete your account cancels any paid plan at once, with no refund for the unused part (section 10).
- We may suspend or close your account, or limit features, if you seriously or repeatedly break these Terms, if your use puts others, the Service or us at risk, if we must do so by law, or if we stop offering the Service. Where reasonable, we will warn you first and give you a chance to fix the problem.
- If we close your account for a reason other than a serious breach or a legal requirement, we will refund any prepaid fees for the unused part of your current period.
- Sections that by their nature should continue after the account ends, such as those on payment owed, content, liability and governing law, continue to apply.
24. Your data when your account ends#
While your account is active, including in limited mode, you can download your files and export your meetings and documents. Before you close your account, or if we close it for a reason other than a serious breach or a legal requirement, you can ask us at saleh@utilizebot.com for a copy of your data in a common, machine-readable format, and we will give you at least 30 days to get it. After the account is closed, we delete your data as our Privacy Policy explains.
25. Disclaimer of warranties#
We work hard to keep UtilizeBot reliable and secure, but the Service is provided "as is" and "as available". To the extent the law allows, we do not give warranties that the Service will be uninterrupted, error free or secure at all times, that output will be accurate or fit for a particular purpose, or that third-party services and websites will work with it. Nothing in these Terms excludes guarantees you have by law that cannot be excluded, including under the Consumer Protection Act 1999 where it applies.
26. Limitation of liability#
- To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, arising from the Service.
- To the extent the law allows, our total liability for all claims about the Service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
- We are not liable for actions you asked for or approved, for the content of websites and third-party services, or for losses caused by your breach of these Terms.
- Nothing limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or for fraud.
27. Indemnity#
You agree to compensate us for reasonable losses, costs and claims from others that arise from your breach of these Terms, from your content, or from actions you asked your bots or agent computer to take or approved, except to the extent they were caused by us.
28. Events beyond our control#
We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, attacks on our systems, or outages at our hosting, network, AI or payment providers. We will do what we reasonably can to limit the effect and restore the Service.
29. Governing law and courts#
These Terms are governed by the laws of Malaysia. The courts of Malaysia have jurisdiction over any dispute about them or the Service. Before going to court, please contact us so we can try to resolve the matter together. If you are a consumer living outside Malaysia, you keep any protection that the law of your country gives you and that cannot be excluded.
30. Changes to these Terms#
We may update these Terms when our Service, our prices or the law changes. The version number and effective date at the top show the latest version. If a change materially affects you, we will tell you by email or in the app at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using the Service after the change takes effect, you accept the new Terms; if you do not accept them, you can cancel and close your account.
31. General#
- These Terms and our Privacy Policy are the whole agreement between you and us about the Service.
- If a part of these Terms cannot be enforced, the rest still applies.
- If we do not enforce a right straight away, we can still enforce it later.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a company that takes over the Service, if your rights are not reduced.
- These Terms are published in English and Bahasa Melayu. If the two versions differ, the English version prevails.
